PLEASE READ THESE TERMS CAREFULLY. SECTION 17 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT HOW DISPUTES ARE RESOLVED. YOU MAY OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 17.

1. Agreement to These Terms

These Terms of Use ("Terms") are a legal agreement between you and E-Distributors, Inc., doing business as Rockville ("Rockville," "we," "us," or "our"), located at 600 Bayview Ave, Suite 100, Inwood, NY 11096. They govern your use of www.rockvilleaudio.com, our online store, our smartphone apps for Rockville lighting products, our email and text message programs, and any other websites or services we operate (together, the "Services").

By using the Services, creating an account, placing an order, or checking a box or clicking a button that references these Terms, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to make purchases or create an account. If you are under 18, you may use the Services only with the involvement of a parent or guardian. The Services are intended for customers in the United States.

3. Changes to These Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date above and, for material changes, give notice on the Services or by email. Changes take effect when posted and apply to your use of the Services after that date. Changes will not apply to any order placed before the change or to any dispute of which we had notice before the change. If you do not agree to the updated Terms, stop using the Services.

4. Intellectual Property

All content on the Services, including text, graphics, logos, images, audio, video, software, and the design of the Services ("Content"), is owned by Rockville or its licensors and protected by U.S. and international intellectual property laws. ROCKVILLE and associated logos, product names, and service marks are trademarks of Disruptor Designs LLC and are used under license. You may not use them without our prior written permission.

5. Limited License

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use. You may not:

  • Copy, reproduce, distribute, or create derivative works from the Content
  • Use the Content for commercial purposes without our written permission
  • Remove any copyright or other proprietary notices
  • Frame or mirror any part of the Services
  • Use any robot, spider, scraper, or other automated means, including AI or data-mining tools, to access or collect data from the Services without our written permission

6. Accounts

Some features require an account. You agree to provide accurate and complete information, keep your password confidential, notify us promptly of any unauthorized use, and accept responsibility for activity under your account. You may not use another person's account without permission. We may suspend or close accounts that violate these Terms.

7. Reviews and Other User Content

If you post reviews, photos, comments, or other content on the Services ("User Content"), you grant Rockville a perpetual, irrevocable, worldwide, royalty-free license to use, copy, display, distribute, modify, and create derivative works from it in any media, including in marketing. You represent that you own or have the rights to your User Content, that it is accurate and reflects your honest experience, and that it does not violate any law or third-party right. If you received a free product, discount, or other incentive related to a review, you must disclose it in the review. We may remove or decline to post User Content that violates these Terms, but we do not remove reviews simply because they are negative.

Unsolicited ideas. We do not seek unsolicited product ideas or suggestions. If you send us any anyway, you agree that we may use them without restriction or compensation to you.

8. Prohibited Conduct

You agree not to:

  • Violate any law or regulation
  • Infringe any intellectual property or other rights
  • Post unlawful, fraudulent, defamatory, obscene, threatening, or harmful content
  • Impersonate any person or entity
  • Transmit viruses, malware, or other harmful code
  • Interfere with or disrupt the Services or our servers
  • Send spam, phish, or engage in unauthorized commercial activity
  • Harvest or collect information about other users
  • Circumvent any security features or access restrictions
  • Buy products for resale in violation of our resale or authorized dealer policies

9. Products, Orders, and Payment

Product information. We try to describe and display products accurately, but product descriptions, images, pricing, and availability may change without notice and may contain errors. Colors and appearance may vary by screen.

Orders. Your order is an offer to buy. We accept it when we ship the product, and may confirm receipt by email before then. We may limit quantities, refuse or cancel any order, including orders that appear fraudulent or are placed by resellers, and correct pricing or other errors, even after an order is submitted. If we cancel an order after you have been charged, we will refund the charge.

Pricing and payment. Prices are in U.S. dollars. You agree to pay all charges for your order, including shipping and applicable taxes. Payments are processed by Shopify Payments and other providers offered at checkout. We collect sales tax where required by law; tax-exempt organizations should contact customer service at 1-646-758-0144 before ordering.

Shipping and risk of loss. Delivery dates are estimates. Title and risk of loss pass to you when we deliver the product to the carrier.

Returns. Returns and refunds are governed by the return policy on our FAQ page.

Product warranties. Rockville products are covered by the limited warranty described on our FAQ page and any warranty included with the product. Nothing in these Terms limits the warranty provided with your product or any rights you have under applicable law.

Marketplace purchases. If you buy Rockville products through a third-party marketplace or retailer, such as TikTok Shop or an authorized dealer, that seller's terms govern the sale, although our product warranty still applies.

10. SMS / Text Message Terms

Program description. By opting in to Rockville text messages, you agree to receive recurring automated text messages from Rockville at the mobile number you provide. Messages may include order and shipping updates, customer service messages, and marketing messages such as new products, back-in-stock alerts, sales, and promotions.

Consent. Consent to receive marketing text messages is not a condition of any purchase. You confirm that you are the subscriber or authorized user of the mobile number you provide.

Frequency and cost. Message frequency varies. Message and data rates may apply according to your mobile plan.

Opting out. Reply STOP to any message to cancel. You will receive one message confirming your opt-out, and no further marketing messages will be sent. To rejoin, sign up again the way you first did.

Help. Reply HELP for help, or contact us at support@rockvilleaudio.com or 1-646-758-0144.

Carriers. Carriers are not liable for delayed or undelivered messages. Supported carriers may change.

Privacy. Our Privacy Policy describes how we handle your mobile number. We do not share or sell your mobile information or SMS opt-in data to third parties or affiliates for marketing or promotional purposes.

11. Lighting Apps

Our smartphone apps for Rockville lighting products are licensed, not sold, to you for use on devices you own or control, solely to operate Rockville products. You may not copy, modify, reverse engineer, or redistribute the apps except as allowed by law. We may update or discontinue the apps at any time. If you download an app from the Apple App Store or Google Play, you must also follow that store's terms. Apple and Google are not parties to these Terms and are not responsible for the apps or for providing support or maintenance for them.

12. Contests and Promotions

Contests, sweepstakes, giveaways, and promotions may have their own official rules. If those rules conflict with these Terms, the official rules control for that promotion. Promotional codes have no cash value, may not be combined unless stated, and may be changed or withdrawn at any time.

13. Third-Party Sites and Services

The Services may link to or include features from third-party websites and services. We do not control and are not responsible for their content, policies, or practices. Your use of them is at your own risk and subject to their terms.

14. Privacy

Our Privacy Policy explains how we collect, use, and share personal information. You also agree that we may send you notices and other communications electronically, and that these satisfy any legal requirement that they be in writing.

15. Disclaimers, Liability, and Indemnification

Disclaimer. EXCEPT FOR THE PRODUCT WARRANTIES DESCRIBED IN SECTION 9, THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ROCKVILLE DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICES AND CONTENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. Implied warranties on products, to the extent they cannot be disclaimed, are limited to the duration of the applicable written warranty.

Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, ROCKVILLE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD, OR TO ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

Your state's rights. Some states, including New Jersey, do not allow the exclusion or limitation of certain warranties or damages. In those states, the exclusions and limitations above apply only to the extent permitted by that state's law, and you may have additional rights.

Indemnification. You agree to indemnify and hold harmless Rockville and its officers, directors, employees, agents, affiliates, and suppliers from third-party claims, losses, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, your violation of any law or third-party right, or User Content you submit.

If you believe content on the Services infringes your copyright, send a notice to our designated Copyright Agent that includes:

  1. Your physical or electronic signature
  2. Identification of the copyrighted work
  3. Identification and location of the allegedly infringing material on the Services
  4. Your name, address, phone number, and email address
  5. A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf

If your content was removed and you believe it was removed by mistake, you may send a counter-notice as permitted by the DMCA. We will terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.

17. Dispute Resolution and Arbitration

Informal resolution first. Before starting arbitration or a small claims case, you and Rockville agree to try to resolve any dispute informally. Send a written description of your claim and the relief you want to legal@rockvilleaudio.com, or by mail to the address in Section 19. We will do the same by sending notice to the contact information we have for you. If the dispute is not resolved within 60 days after the notice is received, either party may proceed as described below.

Binding arbitration. Except as stated below, any dispute arising out of or relating to these Terms, the Services, or any product you buy from us will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this agreement. The arbitration will take place in the county where you live or by video or telephone, unless both parties agree otherwise. We will pay the filing, administrative, and arbitrator fees that the AAA Consumer Rules assign to the business.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek relief in court for infringement or misuse of intellectual property.

Class action and jury trial waiver. YOU AND ROCKVILLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND ROCKVILLE EACH WAIVE THE RIGHT TO A JURY TRIAL. If this class action waiver is found unenforceable as to a claim, that claim will be decided in court, not in arbitration.

Opting out. You may opt out of this arbitration agreement by emailing legal@rockvilleaudio.com within 30 days after you first agree to these Terms, with your name, address, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.

Governing law and venue. These Terms are governed by the laws of the State of New York, without regard to conflict of law principles, except that the Federal Arbitration Act governs the arbitration agreement. Any dispute not subject to arbitration will be brought in the state or federal courts located in New York, and you and Rockville consent to their jurisdiction.

18. Termination, Export, and General Terms

Termination. We may suspend or end your access to the Services at any time if you violate these Terms or if we reasonably believe it is needed to protect Rockville, our customers, or the Services. Sections that by their nature should survive, including those on intellectual property, User Content, disclaimers, limitation of liability, indemnification, and dispute resolution, survive termination.

Export. You may not use, export, or re-export the Services, Content, or apps in violation of U.S. export control or sanctions laws.

General. These Terms, together with our Privacy Policy and any policies referenced in them, are the entire agreement between you and Rockville about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms; you may not assign them without our written consent. We are not liable for delays or failures caused by events beyond our reasonable control.

These Terms apply to the Services and to all Rockville products sold through them, including professional audio, home audio, car and marine audio, lighting products and apps, and audio accessories.
